If Buyer has a dispute with respect to an invoice, Buyer must notify Seller within seven (7) business days after the date of invoice. Buyer shall make all payments hereunder by electronic funds transfer to a bank account designated in writing by Seller (in Seller’s order confirmation or invoice, as the case may be), within the time indicated on Seller’s invoice. PAYMENTS Unless otherwise directed or agreed to by Seller, all invoices are payable thirty (30) days after the date of invoice. TAXES Seller's invoices will include value added tax, and such value added tax shall be a separate line item on the invoice. In all events, Seller's liability with respect to default of delivery or untimely delivery shall not exceed 5 % of the invoice value of the deliveries, excluding any other claims.

If Buyer has a claim with respect to an invoice, Buyer must notify Seller within seven (7) business days after the date of the invoice. Thereafter, Buyer shall be considered as having tacitly approved the invoice. 7. Seller is entitled to deliver the Products as stated in the order confirmation in partial shipments and to invoice accordingly.
