In case Buyer fails to fulfill any payment obligation by the relevant due date, starting from the day thereafter, Seller shall have the right to charge default interests on any overdue amount, at a rate which is the lesser of (i) the official reference rate recorded by the European Central Bank as at such date, increased by 8% and (ii) the maximum interest rate applicable under Italian law as at the same date.

Any samples or developmental material provided by Seller are provided “AS IS” with no warranty as to its performance and such samples or materials shall not create any warranty by sample, which is hereby waived.
If the parties cannot agree upon and implement such changes within sixty (60) days after such notice, Seller shall thereupon have a right to terminate this contract forthwith by written notice to Buyer. 8.
