TERMS AND CONDITIONS These Terms and Conditions govern the sale of Products to another (“Buyer”) by Avient Corporation and its affiliates (“Seller”). 1. i) If Buyer is in default of performance of its obligations towards Seller and fails to provide adequate assurance of Buyer’s performance before the date of scheduled delivery; or (ii) if Seller has reasonable doubts with respect to Buyer’s performance of its obligations and Buyer fails to provide to Seller adequate assurance of Buyer’s performance before the date of scheduled delivery and in any case within thirty (30) days of Seller’s demand for such assurance; or (iii) if Buyer becomes insolvent or unable to pay its debts as they mature, or goes into liquidation or any bankruptcy proceeding shall be instituted by or against Buyer or if a trustee or receiver or administrator is appointed for all or a substantial part of the assets of Buyer or if Buyer makes any assignment for the benefit of its creditors; or (iv) in case of non- compliance of Buyer with any law, statute ordinance, regulation, code or standard (“Laws and Standards”), then Seller may by notice in writing to Buyer, without prejudice to any of its other rights: (a) demand return and take repossession of any delivered Products which have not been paid for and all costs relating to the recovery of the Products shall be for the account of Buyer; and/or کے حالات میں ہونے والی تبدیلیوں، قیمتوں میں اضافہ، مال برداری میں اضافہ، نقل و حمل، یا ایندھن کے سرچارجز، اور/یا ڈیوڻی، ڻیرف، یا آرڈر کی منظوری کے بعد پروڈکٹ کی فروخت/شپمنٹ کے سلسلے میں فروخت کننده پر عائد ڻیکس ، کی وجہ سے تبدیل کی جا سکتی ہیں۔ اگر ہے، تو اس طرح کی رعایت صرف ان مصنوعات کی فروخت کننده رعایت دیتا ترسیل اور/یا مقدار سے متعلق ہوتی ہے جن کا ذکر خاص طور پر فروخت کننده کے آرڈر کی تصدیق میں کیا گیا ہے۔ ڈیلیوری کے لیے کوئی بھی وقت یا تاریخیں کے آرڈر کی تصدیق کے) صرف فروخت کنندهجو فروخت کننده دیتا ہے (بشمول ہیں اور فروخت کی شرائط نہیں ہیں۔ فریقین متفق ہیں کہ وقت اہمیت کا حامل تخمینہ کو کی اور/یا اخراجات کا ذمہ دار نہیں ہوگا۔ وجہ سے فروخت کننده کسی بھی نقصانات خریدار مصنوعات کو قبول کرنے اور فروخت کننده کے ذریعہ فراہم کرده مصنوعات کی مقدار کے لیے آرڈر کی تصدیق میں بیان کرده ریٹ ادا کرنے کا پابند ہوگا۔ خریدار کی خلاف ورزی یا کام کرنے میں ناکامی کی صورت میں، رح کی کارروائی سے ہونے والے دیگر نقصانات کے علاوه، فروخت کننده کو اس ط خاص طور پر خریدار کے لیے تیار کرده (i)خریدار سے وصولی کا حق ہوگا: مصنوعات کی صورت میں یا جنہیں فروخت کننده کسی تیسرے فریق کو معقول طور پر دوباره فروخت نہیں کر سکتا، ایسی مصنوعات کی قیمت جیسا کہ فروخت ان مصنوعات کی صورت (ii)ه کے آرڈر کی تصدیق میں بیان کی گئی ہے؛ یا کنند میں جنہیں فروخت کننده دوباره فروخت کر سکتا ہے، مصنوعات کی قیمت کے ) کے برابر نقصانات جیسا کہ فروخت کننده کے آرڈر کی توثیق 50پچاس فیصد (٪ میں نقل کیا گیا ہے۔ ریدار فروخت کننده کے تئیں اندر فروخت کننده کو خریدار کی کارکردگی کی مناسب یقین دہانی فراہم کرنے و جاتا ہے یا اپنے قرض کی ادائیگی اگر خریدار دیوالیہ ہ (iii)میں ناکام رہتا ہے؛ یا کرنے سے قاصر ہو جاتا ہے جیسا کہ وه بالغ ہو جاتا ہے، یا لیکویڈیشن میں چلا جاتا ہے یا دیوالیہ ہونے کی کوئی کارروائی خریدار کی طرف سے یا اس کے خلاف قائم کی جائے گی یا اگر کسی ڻرسڻی یا وصول کننده یا منتظم کا تقرر کیا گیا ہو یا اس کے کسی خاص حصے کے لیے خریدار کے اثاثے یا اگر خریدار اپنے قرض خریدار کی جانب سے کسی (iv)دہندگان کے فائدے کے لیے تفویض کرتا ہے؛ یا قانون، آئینی آرڈیننس، ضابطے معیار کی عدم تعمیل کی صورت میں، فروخت کننده اس کے دیگر حقوق میں سے کسی بھی تعصب کے بغیر، خریدار کو تحریری طور کسی بھی ترسیل شده مصنوعات کی واپسی اور دوباره (a)پر نوڻس دے سکتا ہے: ادائیگی نہیں کی گئی ہے اور مصنوعات کی بازیابی قبضے کا مطالبہ کرے جن کی (b)سے متعلق تمام اخراجات خریدار کے اکاؤنٹ کے لیئے ہوں گے۔ اور/یا مصنوعات کی زیر التواء ترسیل کے لیے اس کی کارکردگی کو معطل کردے یا اس کے آرڈر کی توثیق کو ختم کردے جب تک کہ خریدار مصنوعات کے لیے اس گی پیشگی بنیاد Terms and Conditions (April 1, 2024) خاص طور پر اسے معاہدے میں ترمیم کے طور پر شناخت نہ کیا جائے۔ معاہدے میں کوئی ترمیم یا اضافہ خریدار کی طرف سے جمع کرائے گئے خریداری کے ل فروخت کننده آرڈر، اقرار، رہائی یا اضافی یا مختلف شرائط و ضوابط پر مشتم کے ذریعہ تسلیم یا قبولیت سے نہیں ہوگا۔ THE UNITED NATIONS CONVENTION اقوام متحده کا کنونشن۔ ۔۲۰ RESPECTING CONTRACTS FOR THE INTERNATIONAL SALE OF GOODS ان شرائط کے تحت فروخت پر لاگو نہیں ہوگا۔ یہ شرائط پاکستان کے قوانین کے مطابق چلائی اور ان کی تشکیل قابل اطلاق قانون۔ ۔۲۱ کی جائے گی۔ پاکستان کی عدالتیں ان شرائط سے پیدا ہونے والے یا ان سے متعلق تمام معاملات میں دائره اختیار رکھتی ہیں۔ اس حد تک کہ فروخت کننده اور خریدار نے ایک الگ رازداری کے رازداری۔ ۔۲۲ عمل درآمد کیا ہے، پھر اس طرح کے رازداری کے معاہدے کی شرائط معاہدے پر کو کنڻرول کیا جائے گا۔ اس حد تک کہ فروخت کننده اور خریدار نے ایک الگ رازداری کے معاہدے پر عمل نہیں کیا ہے، فروخت کننده کی جانب سے فراہم کرده خریدار فریقین کوئی بھی اور تمام معلومات کو خفیہ سمجھا جائے گا اور صرف کے درمیان لین دین کے مقصد کے لیے استعمال کرے گا۔ اگر خریدار کو عدالتی حکم یا قانونی ڈیوڻی کی وجہ سے معلومات کو ظاہر کرنے کی ضرورت ہے، خریدار کو فوری طور پر فروخت کننده کو مطلع کرنا ہوگا اور اگر وه حفاظتی آرڈر ه کے ساتھ معقول طور پر تعاون کرے گا۔ حاصل کرنا چاہتا ہے تو فروخت کنند خریدار، فروخت کننده کے مطالبے پر، فوری طور پر فروخت کننده کے پاس ایسی تمام معلومات کو واپس بھیجے گا یا ختم کر دے گا۔ خریدار اس کی کاپی اپنے پاس نہیں رکھے گا۔ خریدار درخواست پر ایک معقول رازداری کے معاہدے پر دستخط اور اس بات کو یقینی بنائے گا کہ اس کے ملازمین کم از کم اتنی ہی پابندی کرے گا والی رازداری کی ذمہ داریوں کے پابند ہوں جیسا کہ یہاں بیان کی گئی ہیں۔ کیلنڈر دنوں کے 14فروخت کننده یہ معاہده اپنے واحد اختیار پر خریدار کو خاتمہ۔ ۔۲۳ تحریری نوڻس پر ختم کر سکتا ہے۔ ان شرائط کی شق کے باطل ہونے کی صورت میں، فریقین یہ سمجھیں سیوریبیلیڻی۔ ۔۲۴ گے کہ اس شق کو مکمل طور پر متاثر کیا گیا ہے اور باقی کی شرائط اپنی پوری کے ساتھ اثر میں رہیں گی۔شدت (April 1, 2024) شرائط و ضوابط
