Proposition 65)); (vi) be non-infringing as shipped by Supplier, with respect to patents, trademarks, copyrights, trade secrets and all other intellectual property rights of third parties in the country of delivery; and (vii) be in full and strict conformance to any Certificate of Analysis (“COA”) or Certificate of Conformance (“COC”) provided by Supplier in connection with a particular shipment of Goods. Insurance Supplier shall maintain insurance adequate to cover the risks resulting from or connected with the Agreement. No income will be recognized by a participant in connection with the grant of a SAR. aa) “Predecessor Plans” means the PolyOne Corporation 2010 Equity and Performance Incentive Plan and the PolyOne Corporation 2017 Equity and Incentive Compensation Plan, in each case including as may be (or may have been) amended or amended and restated from time to time. The PolyOne Corporation 2020 Equity and Incentive Compensation Plan was effective as of the Effective Date.

Seller reserves to itself all applicable duty drawback allowances, and Buyer shall provide assistance in connection with Seller’s application for the same. Should any dispute of whatever nature arise from or in connect with these Terms, then the dispute shall, unless the parties agree otherwise in writing be resolved by way of binding arbitration. Each party shall comply with Data Protection Legislation in connection with the Processing of Personal Information that may be disclosed under these Terms.
