Board Leadership Structure The Board selects the Chairman of the Board and Chief Executive Officer and determines from time to time whether the positions are to be combined and filled by one person or separated and filled by two persons. If the positions of Chairman of the Board and Chief Executive Officer are held by the same person or if the Chairman of the Board is otherwise not an independent director, the Board, upon recommendation from the Governance and Corporate Responsibility Committee, will select one of the independent directors who has served for at least one year on the Board to serve as the Lead Director. The supplier molds two housing components using a 20 percent talc-filled polypropylene — one for the HVAC parts and one for the blower motor — then assembles all of the components to produce a single module.
