Seller shall not be subject to any liability or damages for delay in performance or non-performance as a result of fire, flood, ice, natural catastrophe, pandemic, strike, lockout, labor shortage, labor dispute or trouble, accident, riot, act of governmental authority, act of God, war, act of terrorism (including cyber-terrorism and ransomware attacks), or other contingencies and/or circumstances beyond its reasonable control interfering with the production, supply, transportation, or consumption of the Products or with the supply of any raw materials used in connection therewith, or the inability of Seller to purchase raw materials at a commercially reasonable price, or if performance would be contrary to, or constitute a violation of, any regulation, law, or requirement of a recognized government authority, and quantities so affected may be eliminated by Seller from the corresponding contract without liability or damages to Seller, but the corresponding contract shall otherwise remain unaffected. El Vendedor no estará sujeto a ninguna responsabilidad o daños y perjuicios por el retraso en la ejecución o falta de la misma como consecuencia de un incendio, inundación, hielo, catástrofe natural, pandemia, huelga, cierre patronal, escasez de mano de obra, conflicto o problema laboral, accidente, disturbio, acto de autoridad gubernamental, hechos fortuitos, guerra, acto de terrorismo (incluyendo ciberataque o ataque de ransomware), u otras contingencias y/o circunstancias más allá de su control razonable, que interfieran con la producción, suministro, transporte, o consumo de los Productos, o con el suministro de cualquier materia prima utilizada en relación con los mismos, o la imposibilidad del Vendedor de comprar materias primas a un precio comercialmente razonable, o si la ejecución fuese contraria a o constituyera incumplimiento de cualquier reglamento, ley o requerimiento de autoridad gubernamental reconocida.

Seller shall not be subject to any liability or damages for delay in performance or non-performance as a result of a force majeure event (including, without limitation, fire, flood, ice, natural catastrophe, pandemic, strike, lockout, labor shortage, labor dispute or trouble, accident, riot, act of governmental authority, act of God, war, act of terrorism (including cyber-terrorism and ransomware attacks)), or other contingencies and/or circumstances beyond its reasonable control interfering with the production, supply, transportation, or consumption of the Products or with the supply of any raw materials used in connection therewith, or the inability of Seller to purchase raw materials at a commercially reasonable price, or if performance would be contrary to, or constitute a violation of, any regulation, law, or requirement of a recognized government authority, and quantities so affected may be eliminated by Seller from this contract without liability or damages to Seller, but this contract shall otherwise remain unaffected. El Vendedor no está sujeto a ninguna responsabilidad o a reparar los daños y perjuicios por retrasos en sus obligaciones o por incumplimientos resultantes de un caso de fuerza mayor (incluyendo sin limitación incendio, inundación, helada, catástrofe natural, pandemia, huelga, bloqueo, falta de personal, disputa o conflicto laboral, accidente, revuelta, acto de autoridad gubernamental, caso fortuito, guerra, acto terrorista (inclusive ciberterrorismo o ciberataques)), u otras contingencias y/o circunstancias más allá de su control razonable que interfieran con la fabricación, suministro, transporte o consumo de los Productos o con el abastecimiento de las materias primas que se utilizan en relación con los Productos, o la incapacidad del Vendedor para comprar materias primas a precios razonables, o si el cumplimiento implicase la violación de una ley, regulación o requerimiento de una autoridad gubernamental reconocida o si fuese contrario a éstas.

O vendedor não estará sujeito a qualquer responsabilidade ou prejuízos por atraso no desempenho ou pelo não desempenho do Produto em função de incêndio, inundação, gelo, catástrofe natural, pandemia, greve, bloqueio, escassez de trabalho, disputa ou problema trabalhista, acidente, motim, ato de autoridade governamental, caso fortuito, guerra, ato de terrorismo (incluindo ciberterrorismo e ataques de ransomware) ou outras contingências e/ou circunstâncias além de seu controle razoável, interferindo na produção, fornecimento, transporte ou consumo dos Produtos ou com o fornecimento de quaisquer matérias-primas usadas em conexão com o mesmo, ou a incapacidade do Vendedor de comprar matérias-primas a um preço comercialmente razoável, ou se o desempenho for contrário a, ou constituir uma violação de, qualquer regulamento, lei ou exigência de um autoridade governamental e as quantidades assim afetadas possam ser eliminadas pelo Vendedor deste contrato sem responsabilidade ou danos ao Vendedor, mas, de outra forma, este contrato permanecerá inalterado.
