General Purposes The general purposes of the Committee are to: Identify individuals qualified to become Board members, consistent with criteria approved by the Board; Select, or recommend that the Board select, the director nominees for the next annual meeting of shareholders; Develop, review and recommend to the Board corporate governance guidelines applicable to the Company; Oversee the annual evaluation of the Board; and Assist the Board in fulfilling its oversight responsibilities relating to certain corporate responsibility and strategic environmental, social and governance matters. Evaluate and recommend to the Board the appointment of the Lead Director, as applicable. The Committee may appoint subcommittees from time to time as needed and may delegate authority to such subcommittees or to officers of the Company, when appropriate, consistent with applicable laws, regulations, and listing standards.

THE CHALLENGE A leading North American manufacturer of polypropylene (PP) hose for medical applications, including laser surgery, respiratory care and sleep apnea equipment, faced a challenge with its existing thermoplastic vulcanizate (TPV). The Avient team assessed the application’s technical and operational requirements, and recommended GLS Versalloy™ XL- 9045-1 alloy in 45 Shore A durometer, an FDA-compliant medical TPV grade designed for overmolding onto PP. THE IMPACT Avient’s expertise in materials for medical device applications helped this customer make a smooth transition to the GLS TPV.

• Oversee programs established by the Company whereby the Company is responsible to monitor compliance with Company policies, standards and practices and with applicable governmental laws and regulations concerning safety, health, environmental, physical security and product stewardship on a global basis. Duties and Responsibilities The Committee will: Assessment Process • Periodically review the results of formal assessments by management of the environmental liabilities for which the Company has known or probable environmental exposure and the adequacy of the Company’s financial reserves for environmental liabilities; • Semi-annually review the status of health and safety performance of the Company; • Semi-annually review the status of the Company’s product stewardship programs and performance; • Periodically review the Company’s staffing for its environmental, health and safety assessments and compliance; and 2 • Periodically review new environmental, physical security, health and safety laws and regulations applicable to the Company’s operations and issues or significant developments arising from pending regulatory and citizen group activities. Committee Meetings and Action • A majority of the Committee members will be a quorum for the transaction of business. • The action of a majority of those present at a meeting at which a quorum is present will be the act of the Committee. • Any action that may be taken at a meeting of the Committee may be taken by written consent so long as the written consent is unanimously approved and filed with the Corporate Secretary. • The Company’s Senior Vice President, Global Operations and Process Improvement or his/her designee, will be the management liaison to the Committee. • The Committee may appoint subcommittees from time to time as needed, and may delegate authority to such subcommittees or to officers of the Company when appropriate, consistent with applicable laws, regulations and listing standards. • The Corporate Secretary or his/her designee shall be responsible for keeping minutes of the Committee meetings. • The Committee will meet at least two times a year and at such other times as may be requested by its Chair. 3 • The Committee will annually review its charter and recommend any changes to the Governance and Corporate Responsibility Committee.
