Thereafter, Buyer automatically approves the invoice. 7. Buyer shall be exclusively responsible for (i) ensuring compliance with all Laws and Standards associated with its intended use of Product; and (ii) obtaining all necessary approvals, permits or clearances for such use. Buyer shall not (re-) export or (re-) transfer or disclose, directly or indirectly, any of the Products or Items supplied by Seller and/or any Items incorporating or processed from such Products, in breach of any Trade Control laws, or, in the event an export license or other approval is required from any governmental authority or agency, without first obtaining such license or approval.

Buyer shall be exclusively responsible for (i) ensuring compliance with all Laws and Standards associated with its intended use of Product; and (ii) obtaining all necessary approvals, permits or clearances for such use. Buyer shall not (re-) export or (re-) transfer or disclose, directly or indirectly, any of the Products or Items supplied by Seller and/or any Items incorporating or processed from such Products, in breach of any Trade Control laws, or, in the event an export license or other approval is required from any governmental authority or agency, without first obtaining such license or approval.

Management has no authority to approve services performed by EY that have not been pre-approved by the Audit Committee. The term of any pre-approval is 12 months from the date of pre-approval, unless the Audit Committee specifically provides for a different period. At each meeting of the Audit Committee, the current year’s previously pre-approved independent auditor fees along with any proposed revisions will be presented for approval.
