• Among other responsibilities, the Non-Executive Chairman of the Board: • Chairs executive sessions of the non-employee Directors and provides feedback and perspective to the CEO regarding discussions at these sessions; • Facilitates communications between other members of the Board; • Approves meeting agendas and meeting schedules for the Board; • Communicates with the CEO regarding the quality, quantity and timeliness of the flow of information from management to the Board; • Interviews all Board candidates and provides the Governance and Corporate Responsibility Committee with recommendations on each candidate; • Maintains close contact with the Chair of each standing committee and assists in ensuring communications between each committee and the Board; • Considers the retention of advisers and consultants who report directly to the Board; and • Chairs Board meetings.
The Consultant regularly attends Compensation Committee meetings, maintains regular contact with the Compensation Committee, and interacts with management to gather the data needed to prepare reports for Compensation Committee review.
